FabriSquare (www.fabrisquare.com) is a B2B fabric marketplace platform operated by HP Singh Agencies Pvt. Ltd. ("Company", "we", "us", "our"), designed to bring fabric buyers and sellers closer together. The platform, including its content, concept, functionality, and features, is owned by Surge Fabrics and protected by copyright.

By accessing, browsing, or purchasing products on FabriSquare, you agree to be bound by these Terms & Conditions. This Agreement forms a binding contract between HP Singh Agencies Pvt. Ltd. and anyone who accesses or uses the platform. If you do not agree, do not use or access the platform.

We reserve the right to modify or replace these Terms at any time by posting updated terms on the site. Your continued use after any changes constitutes acceptance of the new Terms. Please review this Agreement periodically.

• All product details (including reed, pick, count, construction, GSM, width, and other technical fabric parameters) are uploaded by the seller to the best of their knowledge. These may vary as per standard industry tolerance.
• The seller holds sole ownership and responsibility for the products they list and sell on the platform.
• Sellers are solely responsible for ensuring that products listed do not infringe upon any registered design, copyright, or intellectual property rights of any Indian or international buyer or brand.
• FabriSquare does not take responsibility for any copyright or IP infringement claims arising from seller-listed products. We respect all intellectual property rights and will act on valid complaints to remove infringing products from the platform.

• Pricing is set by the seller based on available product quantity and may change based on the quantity selected by the buyer.
• Once an order is confirmed, a Proforma Invoice will be generated based on the selected quantity.
• Goods can be blocked only upon receipt of 40% advance payment from the buyer.
• Once advance payment is made, the order cannot be cancelled unless the information provided by the seller is found to be incorrect or a discrepancy is discovered before delivery.

If goods are delivered and the quality is not as per international standards or the pre-informed product details, FabriSquare will take adequate measures to protect the interests of both buyer and seller. All product-related parameters will be provided to the buyer based on mutual understanding between buyer and seller.

The FabriSquare platform — including its content, concept, functionality, and features — is owned by Surge Fabrics and protected by copyright. Unauthorised reproduction, distribution, or use of any part of the platform is prohibited.

We reserve the right to terminate or suspend access of any buyer, seller, or visitor to the platform at any time, without prior notice, at our sole discretion.

FabriSquare acts solely as a marketplace platform. We are not a party to transactions between buyers and sellers and do not guarantee the accuracy of product information provided by sellers. To the maximum extent permitted by law, we are not liable for any indirect, incidental, or consequential damages arising from use of the platform.

This Agreement shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in Delhi.
